Director Appointments and Re-appointments
1. Mr. Vaibhav Suranaa (DIN: 05244109)
- Action: Re-appointment as Whole Time Director designated as Executive Director
- Term: 3 years from 01st August, 2026 to 31st July, 2029 (both days inclusive)
- Qualifications: MBA from IIM Ahmedabad (IIM Avericks Fellow) and B.Tech in Civil Engineering (Dogra Gold Medal) from IIT Delhi
- Experience: 5 years at Compucom Foundation, work at Jan TV on management and promotion strategy, experience in web-development and consulting for FnB businesses, 6 years of total experience, currently handling Rana Vilas hotel business
- Relationship: Son of Mr. Surendra Kumar Surana, Chairperson, Managing Director and CEO of the Company
2. Dr. Arvind Kumar Dwivedi (DIN: 11699585)
- Action: Appointment as Non-Executive and Independent Director
- Term: First term of 2 years from 15th June, 2026 to 14th June, 2028 (both days inclusive)
- Qualifications: Ph.D. from IIT Roorkee, M.E. (Civil Engineering) with Gold Medal from MITS Gwalior, B.E. (Civil Engineering) with Honors
- Experience: 38+ years in Civil Engineering, technical education, institutional administration, research, and academic governance. Previously served as Pro Vice Chancellor and Controller of Examination at Jagannath University, Jaipur, and various roles at Rajasthan Technical University, Kota including Professor, Pro Vice Chancellor, Dean (Faculty Affairs), Dean (Student Welfare), and Controller of Examinations
- Awards: Best Research Paper Award by IABSE, Lifetime Achievement Awards in Academia & Research
- Publications: Numerous research papers in structural engineering, infrastructure management, environmental engineering, disaster management, and sustainable development; authored books on Engineering Mechanics and Environmental Engineering & Disaster Management
- Relationship: Not related to any of the directors of the Company
Both directors are not debarred from holding office by SEBI or any statutory authority and are not disqualified under Section 164 of the Companies Act, 2013.
Employee Stock Option Scheme 2026
The AGM approved the adoption and implementation of "Compucom Software Limited Employee Stock Option Scheme 2026" (CSL - ESOS 2026) with the following key details:
- Scheme Coverage: Extended to employees of holding company, subsidiary company(ies), associate company(ies) and group company(ies) (present and future)
- Maximum Options: 26,99,379 (Twenty-Six Lakhs Ninety-Nine Thousand Three Hundred and Seventy-Nine) options to eligible employees
- Annual Grant Limit: Options equal to or exceeding 1% but not exceeding 3% of the issued Capital of the Company during any one year
- Compliance: Scheme is in terms of SEBI (SBEB & SE) Regulations, 2021
- Vesting Period: Minimum 1 year, maximum 4 years from date of grant
- Exercise Period: 4 years from date of respective vesting
- Exercise Mechanism: Cash and/or cashless mechanisms
- Selection Criteria: Based on grade, length of service, performance record, merit, future potential contribution, role assigned, and other parameters determined by NRC
- Additional Approvals: Acquisition of equity shares by way of secondary acquisition and provision of loan by the company for purchase of its own shares by the trust/trustees for the benefit of employees under the scheme
