The 31st Annual General Meeting is scheduled to be held on Monday, September 28, 2026, at 03:00 P.M. through Video Conferencing (VC)/Other Audio Visual Means (OAVM), in accordance with relevant circulars issued by the Ministry of Corporate Affairs and SEBI.

Ordinary Business:

  • Item 1: To receive, consider and adopt the Audited Standalone Financial Statements for the financial year ended March 31, 2026, together with Reports of the Board of Directors and Auditors
  • Item 2: To appoint a Director in place of Ms. Lucy Maqbul Massey (DIN: 09424796), Non-Executive Non-Independent Director, who retires by rotation and offers herself for re-appointment

Director Appointments

Both Dr. Ranu Jain and Mr. Santosh Bhattacharjee were appointed as Additional Directors in the capacity of Non-Executive Independent Directors with effect from July 15, 2026, pursuant to Section 161(1) of the Companies Act, 2013. They have submitted declarations confirming they meet independence criteria under Section 149(6) of the Act and SEBI LODR Regulations.

Voting Arrangements

The Company provides facility for remote e-voting through Purva Sharegistry (India) Private Limited. The voting period is from Friday, September 25, 2026 (9:00 A.M.) to Sunday, September 27, 2026 (5:00 P.M.). Members can also vote during the AGM through e-voting system.

Cut-off Date

The Company has fixed Monday, September 21, 2026 as the cut-off date for determining members eligible to vote.

Share Transfer Book Closure

The register of members and share transfer books will remain closed from September 22, 2026 to September 28, 2026 (both days inclusive).

Mr. Abhishek Wagh, Proprietor of M/s Abhishek Wagh & Associates, has been appointed as Scrutinizer for conducting the e-voting process.

Dr. Ranu Jain: 39 years old, gold medalist in Masters and holds PhD in capital markets. Faculty of Finance at Sydenham Institute of Management Studies, Mumbai since 2015. Has 15+ years experience in capital markets, training and academics. Current directorships: SWOJAS FOODS LIMITED (Independent) and ONELIFE CAPITAL ADVISORS LIMITED (Independent).

Mr. Santosh Bhattacharjee: 68 years old, Graduate in Commerce, Law Graduate, Associate Member of ICSI, Associate Member of Indian Institute of Banking & Finance, and Associate Member of Insurance Institute of India. Retired as Deputy General Manager from IDBI Bank Ltd. with 40 years of institutional experience. No current directorships in other companies.
