Key Approvals

1. Execution of Binding Term Sheet: The Board approved the execution of a binding term sheet between Cyient Limited, EAAA India Alternatives Limited (EAAA), and Cyient Semiconductors Private Limited (a wholly-owned subsidiary of Cyient) for a proposed transaction involving:

  • Issuance of non-convertible debentures (NCDs) by Cyient Semiconductors for ₹200,00,00,000 (Indian Rupees Two Hundred Crore)
  • Issuance of compulsorily convertible debentures and/or compulsorily convertible preference shares (CCD/CCPS) by Cyient Semiconductors for ₹100,00,00,000 (Indian Rupees One Hundred Crore)
  • The instruments will be issued to EAAA and/or funds managed/advised by EAAA and/or any co-investors inducted into the transaction by EAAA (collectively referred to as "Investor")
  • The issuance will be on a private placement basis

2. Corporate Guarantee and Share Pledge: The Board approved the provision of a corporate guarantee by Cyient Limited and the pledge of the Company's shareholding in Cyient Semiconductors in favour of EAAA. This is pursuant to the proposed issuance of NCDs by Cyient Semiconductors in accordance with the Term Sheet and any other transaction documents.

  • Guarantee Recipient: The corporate guarantee is proposed to be given for Cyient Semiconductors in relation to obligations arising under the proposed non-convertible debentures to be issued to the Investor
  • Share Pledge: The Company will create a pledge over 100% of its shareholding in Cyient Semiconductors in favour of the Investor
  • Promoter Interest: The promoter/promoter group have no interest in this transaction. Cyient Semiconductors is a wholly-owned subsidiary of Cyient Limited
  • Transaction Nature: The transaction is being done at arm's length
  • Security Arrangements: The corporate guarantee and share pledge will secure all obligations under the NCDs proposed to be issued by Cyient Semiconductors
  • Impact Assessment: The disclosure states "Not Applicable" for the impact of such guarantees on the listed entity
