Board Meeting Outcomes

This disclosure provides clarification regarding the proposed preferential issue of equity shares following a query from NSE. The Board of Directors confirms:

  • No change in the pre- and post-allotment status of any of the proposed allottees for the preferential issue
  • The issue price has been determined as per the valuation report dated 03.06.2026 issued by Mr. Rajneesh Sharma, an Independent Registered Valuer (IBBI Regn. No. IBBI/RV/03/2021/14143)
  • This determination is in accordance with Article 13 (1)(c) of the Articles of Association of the Company and Regulation 166A of SEBI (ICDR) Regulations, 2018

Text Rectification

The company rectified the Explanatory Statement to the Notice of Extra-Ordinary General Meeting dated 3rd June 2026:

  • Page No. 19, 3rd paragraph after "Net proceeds"
  • Original Text: "Any surplus in the issue expenses will be added to the gross proceeds and would be adjusted against general corporate purpose."
  • Corrected Text: Deleted entirely
  • All other contents on Page No. 19 and elsewhere in the Notice remain unchanged
