The Board considered and approved the execution of an Addendum to the Memorandum of Understanding (MoU) dated March 06, 2026, entered into between the Company and M/s. Elegant Floriculture & Agrotech (India) Limited.
Transaction Details
Purpose: Acquisition of agricultural land situated at Gut No. 358, Village Mouje Kashal, Taluka Maval, District Pune, Maharashtra, admeasuring approximately 49,100 square metres.
Key Revisions in Addendum
1. Price Revision: Total sale consideration revised from ₹18,00,00,000 (Rupees Eighteen Crore Only) to ₹19,50,00,000 (Rupees Nineteen Crore Fifty Lakh Only) - an increase of ₹1.5 crore.
2. Advance Payment Acknowledgement: Aggregate advance payment of ₹5,62,50,000 (Rupees Five Crore Sixty-Two Lakh Fifty Thousand Only) already paid by the Company.
3. Timeline Extension: Extension of timelines for payment of the balance sale consideration and completion of the transaction by a further period of one year.
Additional Information
- All other terms and conditions of the original Memorandum of Understanding dated March 06, 2026 remain unchanged and continue in full force.
- The transaction does not qualify as a related party transaction.
- There is no shareholding relationship between the Company and Elegant Floriculture & Agrotech (India) Limited.
