Proposed Resolutions and Implications

The following eight businesses were transacted at the AGM as per the notice:

  • 1. To receive, consider and adopt the audited standalone and consolidated financial statements for the financial year ended 31st March, 2026 and the Reports of Board of Directors and Auditors thereon.
  • 2. To declare a Final Dividend of ₹ 2.50 per Equity Share for the financial year 2025-26.

  • 4. To approve material related party transaction(s) proposed to be entered into by the company.
  • 5. To approve material related party transaction(s) proposed to be entered into by and between the subsidiaries of the company.
  • 6. To approve related party transaction regarding Mr. Shail Manoj Savla holding an office or place of profit as president.
  • 7. Alteration of the articles of association of the company.
  • 8. To approve 'Deep Industries Limited Employee Stock Option Scheme 2026' (Dil ESOP Scheme 2026).

Voting Process and Methods

The company provided two methods for voting:

  • Remote e-voting facility was provided in terms of the Companies Act, 2013 and its Rules, and Regulation 44 of the SEBI Listing Regulations.
  • Venue e-voting was provided during the meeting for members who had not voted remotely. This facility was kept open for 15 minutes during the meeting.

The Authorized Representative briefed members on the e-voting process and shared the schedule of the AGM proceedings.

Scrutinizer's Role and Findings

Mr. Rajesh Parekh, Partner of M/s. RPAP & Co., Practicing Company Secretary, was appointed as the Scrutinizer to scrutinize the entire voting process, encompassing both remote e-voting and e-voting during the meeting.

The document states that the detailed voting results, as required under Regulation 44(3) of the SEBI LODR Regulations and rule 20 of the Companies (Management and Administration) Rules, 2014, would be submitted to the Stock Exchanges separately.

Compliance with Laws and Regulations

The meeting was conducted in accordance with applicable circulars issued by the Ministry of Corporate Affairs and SEBI, and the provisions of the Companies Act, 2013 and rules made thereunder.

The Auditors' report on the financial statements and the Secretarial Audit Report for the year ended 31st March 2026 had no qualifications, observations, or comments with any adverse effect on the company.

The notice and Annual Report for FY 2025-26 were sent electronically to members in demat mode and physically to those who requested it. A letter with a weblink was sent to shareholders without a registered email address as per Regulation 36 of the SEBI Listing Regulations.

Other Procedural Information

The meeting commenced at 11:00 A.M. after confirming a quorum was present. The Chairman delivered a message and announced the company's performance. The notice was taken as read. A question-and-answer session was held for members who had registered as 'Speakers'. The meeting concluded at 11:24 A.M.
