Shares are proposed to be allotted to employees of the Company under the DTPL- Employee Stock Option Plan 2025

Approval granted for listing of maximum 20,59,779 equity shares of ₹2 each
Approval subject to fulfillment of listing conditions including:
Notification to Exchange as per Regulation 10(c) after allotment and credit/dispatch to beneficiaries
Receipt of statutory approvals from SEBI, RBI, MCA, etc.
Compliance with all guidelines, regulations, and directions of Exchange and statutory authorities
Compliance with SEBI (LODR) Regulations, 2015 as on date of listing
Compliance with Companies Act, 1956, Companies Act, 2013 and other applicable laws
Submission of documents as per enclosed checklist

BSE Approval (Ref: DCS/ESOP/IP/RD/302/2026-27 dated October 27, 2026):

Approval granted for issue and allotment of maximum 20,59,779 equity shares of ₹2 each
Shares to be allotted to permanent employees of the Company and employees of subsidiary(ies)
Approval subject to similar conditions as NSE including payment of prescribed fees

Certified true copy of statement under Regulation 10(c)
NSDL/CDSL credit and/or dispatch confirmation by R&T agent
Certified true copy of Board resolution of allotment
List of allottees with names and number of shares allotted
Details of employees granted options/shares in excess of 1% of share capital (ESOPs) or 5% (ESPS)
Confirmation regarding shares issued to Directors under ESOP/ESPS with details
