DHP India Limited has disclosed changes to its cost auditing arrangements pursuant to Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015.
The Board of Directors at its meeting held on May 30, 2026 approved the resignation of the existing cost auditor, Mr. Kishore Majumdar (Proprietor of K. Majumdar & Associates, Cost Accountants), effective immediately from May 30, 2026. The resignation was tendered due to ill health after Mr. Majumdar completed signing the Cost Audit Report for FY 2025-26 (year ended March 31, 2026). The resignation letter confirmed no adverse issues relating to the resignation.
Concurrently, the Board appointed Mr. Sukanto Kumar Sahu (Proprietor of S.K. Sahu & Associates, Cost Accountants, Firm Registration No. 100807) as the new cost auditor for FY 2026-27 (April 1, 2026 to March 31, 2027). The appointment was made based on the recommendation of the Audit Committee and is subject to central government approval. The agreed remuneration for the cost audit services is ₹25,000 plus GST.
Mr. Sahu provided his consent letter dated May 30, 2026, confirming his eligibility under Sections 148 and 141 of the Companies Act, 2013. He holds Membership No. 28234 from the Institute of Cost Accountants of India and PAN No. AVJPS0897F. The letter confirms his independence and that no professional conduct proceedings are pending against his firm.
The cost audit requirement stems from MCA Order No. F.No.52/26/CAB-2010 dated January 24, 2012, which mandates cost audit for specific products: Low Pressure Regulator for LPG Cylinder, accessories & parts (Central Excise Tariff Code: 84818090 & 84819090) and Articles of Brass used as accessories of LPG Regulators (Central Excise Tariff Code: 7418030).
The Board authorized Mr. Ashok Kumar Singh (Chief Financial Officer) to issue the final appointment letter to Mr. Sahu, and Mr. Asheesh Dabriwal (Managing Director) to file the necessary Form No. CRA-2 with the central government.
Annexure A provides additional details confirming that Mr. Sahu is not related to any director of the company and does not hold any other company directorships or committee memberships.
