Dhruv Consultancy Approves Three Drivehub Subsidiaries

The Board approved the incorporation of three subsidiary companies:

1. Valsang Drivehub Private Limited

2. Latur Drivehub Private Limited (or "Latur Waysides Amenities Private Limited")

3. Hottalwadi Drivehub Private limited

Investment Details

The Board approved a maximum investment of ₹3,00,00,000 (Three Crores Rupees) in each of the proposed subsidiaries. The investment will be made in a phased manner and in different tranches as required, subject to applicable statutory and regulatory requirements.

Subsidiary Specifics (Per Annexure-A)

Valsang Drivehub Private Limited:

• Subscription cost: ₹30,25,000
• Proposed shareholding: 55% (3,02,500 equity shares)

Latur Drivehub Private Limited (or Latur Waysides Amenities Private Limited):

• Subscription cost: ₹44,00,000
• Proposed shareholding: 55% (4,40,000 equity shares)

Hottalwadi Drivehub Private limited:

• Subscription cost: ₹55,000
• Proposed shareholding: 55% (5,500 equity shares)

Business Operations

Each proposed subsidiary will operate in the infrastructure sector, specifically focusing on the development, operations, and maintenance of wayside amenities on different sections of National Highways in Maharashtra on a lease basis.

Regulatory Status

The incorporation is subject to approval of the respective names by the Ministry of Corporate Affairs and completion of necessary statutory and regulatory formalities, including issuance of Certificate of Incorporation(s).
