Note Repurchase and Offering Details

The company issued about 12.5 million common shares at a price of $117.54 per share. The price matched the volume‑weighted average price of DigitalOcean’s stock on 15 July 2026. Net proceeds from the offering were used to fund the note repurchase, while cash on hand covered all transaction‑related fees. Of the shares issued, 96% were allocated to retire the 2030 convertible notes and 4% represented the premium paid to noteholders. After the transaction, roughly $153 million of the 2030 convertible notes remain outstanding.

Share Price Reaction

Following the announcement, DigitalOcean’s shares fell 2.2% on the trading day of 24 July 2026.

Additional Share Repurchase Plan

To mitigate dilution arising from the premium, DigitalOcean plans an opportunistic repurchase of approximately 500,000 common shares.

Management Commentary

Chief Financial Officer Matt Steinfort stated that retiring a substantial portion of the 2030 convertible notes strengthens the balance sheet, frees capacity for expansion, and maintains reasonable leverage. He added that the transaction was executed with no dilution and minimal cash usage, and that demand for the company’s AI‑native cloud services continues to exceed supply, providing flexibility for further investment in inference and agentic workloads.
