The Company proposes to make an application to the Central Government (Ministry of Corporate Affairs, New Delhi) in e-Form MR-2 seeking approval for the continuation of appointment of Mr. Raju Rajasekaran (DIN: 01789110) as Managing Director of the Company, notwithstanding that he has attained the age of 70 years.
Background and Voting Outcome
- The proposal for revision of remuneration and continuation of Mr. Raju Rajasekaran as Managing Director was placed before members via Special Resolution at the 16th Annual General Meeting held on 30th September 2026.
- The resolution secured a majority of votes cast in its favor but did not attain the requisite statutory majority prescribed for passing a Special Resolution under the Companies Act, 2013.
- The number of votes cast in favor exceeded the number of votes cast against it, thereby securing approval by a simple majority.

The notice invites any person whose interests are likely to be affected by the proposed application to submit their representation or objection in writing to the Secretary, Ministry of Corporate Affairs, 3rd Floor, Kartavya Bhawan-1, within 7 days from the date of publication of the notice, with a copy simultaneously forwarded to the Company at its Registered Office.
