Key Personnel Changes

Based on the recommendation of the Nomination and Remuneration Committee, the Board of Directors at its meeting held on May 26, 2026, approved the following:

  • Appointment of Mr. Balveer Singh (Membership No. A59007) as the Company Secretary & Compliance Officer and a Key Managerial Personnel of the Company, effective from June 1, 2026.
  • Acceptance of the resignation of Mr. Ranjit Singh, Company Secretary and Compliance Officer and a Key Managerial Personnel of the Company, effective from close of business on May 31, 2026. The resignation was tendered via letter dated May 26, 2026.

Succession Planning Context

The resignation of Mr. Ranjit Singh is described as part of the organization's succession planning for critical positions. Mr. Singh will continue to be an integral part of the organization and will discharge his functions as 'Chief Legal & Regulatory Officer and Chief Content Officer'.

Board Appreciation

The Board of Directors placed on record its appreciation for the valuable services rendered by Mr. Ranjit Singh during his tenure as Company Secretary & Compliance Officer.

Annexure A Details

The annexure contains the resignation letter from Mr. Ranjit Singh dated May 26, 2026, addressed to the Board of Directors at the company's registered office: 1st Floor, Gala No. 121, Hindustan Kohinoor Industrial Complex, Lal Bahadur Shastri (LBS) Marg, Vikhroli (West), Mumbai - 400 083, Maharashtra.

In his resignation letter, Mr. Singh noted that he had held the position since the company's shares were first listed on Indian stock exchanges in 2007. He emphasized that the resignation is solely due to succession planning and that he will continue to mentor and provide guidance to the new Company Secretary and Compliance Officer for a smooth transition.
