Earkart Limited (formerly known as Earkart Private Limited) has made a regulatory disclosure pursuant to Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, read with Schedule III and reference number HO/49/14/14(7)2025-CFD-POD2/I/3762/2026 dated 30 January 2026.
The Board of Directors of the Company, in their meeting held on 29 May 2026, approved the incorporation of two wholly-owned subsidiaries:
- Earkart Pharmaceuticals Private Limited
- Earkart Healthcare Services Private Limited
Subsidiary Details:
Earkart Pharmaceuticals Private Limited:
- Proposed Authorised Share Capital: ₹1,00,000 (Rupees One Lakh Only)
- Proposed Paid-up Share Capital: ₹1,00,000 (Rupees One Lakh Only)
- Turnover: Not applicable as the entity is yet to be incorporated
- Industry: Pharmaceuticals
- Business Purpose: To manufacture, promote, sale and distribute pharmaceuticals and other related products
- Consideration: 100% subscription to initial paid-up share capital of ₹1,00,000 in cash
- Acquisition Price: At face value of ₹10 (Rupees Ten) per share
- Shareholding: 100% subscription to share capital
Earkart Healthcare Services Private Limited:
- Proposed Authorised Share Capital: ₹1,00,000 (Rupees One Lakh Only)
- Proposed Paid-up Share Capital: ₹1,00,000 (Rupees One Lakh Only)
- Turnover: Not applicable as the entity is yet to be incorporated
- Industry: Healthcare
- Business Purpose: To provide services in healthcare sector
- Consideration: 100% subscription to initial paid-up share capital of ₹1,00,000 in cash
- Acquisition Price: At face value of ₹10 (Rupees Ten) per share
- Shareholding: 100% subscription to share capital
Transaction Details:
Both subsidiaries will become related parties of the Company once incorporated, being wholly-owned subsidiaries. The Promoters/Promoter Group/Group Companies have no interest in these transactions beyond this relationship.
No governmental or regulatory approvals are required for the acquisition, and no indicative time period for completion is provided as the entities are yet to be incorporated.
