Special resolution seeking approval for:
- Revision of maximum managerial remuneration ceiling for Mr. Ajaz Shafi Mohammed (DIN: 00176360), Managing Director & CEO, from ₹50.00 Lakhs per annum to ₹70.00 Lakhs per annum for both FY 2024-25 and FY 2025-26
- Waiver of recovery of excess remuneration amounting to aggregate ₹26.24 Lakhs paid during FY 2024-25 and FY 2025-26 over the previously approved baseline of ₹50.00 Lakhs per annum
- Authorization to Board to alter remuneration components within Schedule V limits without further shareholder approval
Rationale Provided: The expansion of operational parameters and administrative responsibilities, combined with severe macroeconomic challenges in the global logistics sector, led to inadequate net profits under Section 198 of the Companies Act. Actual remuneration paid was ₹63.12 Lakhs for each of FY 2024-25 and FY 2025-26.
