- The Hon'ble National Company Law Tribunal (NCLT), Ahmedabad Bench sanctioned the Scheme of Amalgamation vide its Order dated May 14, 2026.
- The companies received the certified copy of the NCLT order on May 27, 2026 (as referenced in previous disclosure).
- On May 28, 2026, both companies filed the certified copy of the Order with the jurisdictional Registrar of Companies, Ahmedabad.

Scheme Implementation
In terms of Clause 3 (Effective date of the Scheme) read with Clause 1.6 (Definition of Effective Date) and Clause 17 (Scheme conditional on Approvals/Sanctions) of the Scheme, all conditions for effectiveness have been fulfilled. The Transferor Company (Kunal Plastics Private Limited) stands amalgamated with the Transferee Company (Ecoplast Limited) and dissolved without being wound up, effective from May 28, 2026.
Capital Structure Impact
The authorized share capital of Kunal Plastics Private Limited, amounting to ₹25,00,000 (Rupees Twenty-Five Lacs Only), has been transferred to and consolidated with the authorized share capital of Ecoplast Limited. Consequently, the authorized share capital of Ecoplast Limited now stands increased to ₹10,25,00,000 (Rupees Ten Crore and Twenty-Five Lacs Only).
The Memorandum of Association of Ecoplast Limited has been amended accordingly to reflect this capital reorganization.
