Meeting Details

The 44th Annual General Meeting of Emami Paper Mills Limited was held on Friday, 4th September 2026 at 11:30 a.m. (IST) through Video Conferencing/Other Audio Visual Means. The meeting was convened in accordance with circulars issued by the Ministry of Corporate Affairs and SEBI. The registered office of the Company at 687 Anandapur, E.M. Bypass, Kolkata - 700107 was deemed to be the venue for the AGM.

Proposed Resolutions and Implications

The meeting considered eight resolutions for shareholder approval:

Ordinary Business:

1. Consideration and adoption of Audited Financial Statements for FY ended 31st March 2026, together with Reports of Board of Directors and Auditors

2. Declaration of dividend at 8% p.a. (₹8 per share) on Preference Shares of face value ₹100 each, payable proportionately for the period shares remained outstanding during FY 2025-26; and dividend at 160% (₹3.20 per share) on Equity Shares of face value ₹2 each for FY 2025-26

6. Approval for revision in terms of remuneration of Mr. Manish Goenka, Vice-Chairman, for period from 1st April 2026 to 30th June 2026

7. Re-appointment of Mr. Manish Goenka as Whole-time Director designated as Vice Chairman for 3 years effective 1st July 2026

8. Approval for revision in terms of remuneration of Mr. Aditya V. Agarwal, Executive Chairman

Voting Process and Methods

The facility of remote e-voting was made available from Tuesday, 1st September 2026 at 09:00 a.m. (IST) until Thursday, 3rd September 2026 at 05:00 p.m. (IST). The option to vote electronically was also available during the AGM itself. The facility to appoint a proxy was not applicable for this meeting as it was convened under MCA & SEBI circulars for virtual meetings.

Scrutinizer Appointment

CS Raj Kumar Banthia, partner of M/s MKB & Associates, Company Secretaries in Practice (ACS-17190/CP-18428) was appointed as Scrutinizer to scrutinize the process of remote e-voting and e-voting at AGM in a fair and transparent manner.

Compliance with Regulations

The meeting was conducted in compliance with the Companies Act, 2013, SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, and circulars issued by MCA and SEBI. The Notice of the 44th AGM and Annual Report for 2025-26 had been sent to shareholders through email, and documents referred to in the Notice were made available for electronic inspection during the AGM.

Additional Proceedings

The Chairman, Shri Aditya V. Agarwal, briefed shareholders on operational and financial performance for FY ended 31st March 2026, industry outlook, and key initiatives toward sustainability and community development. Queries from shareholders registered as "Speaker" were responded to by Shri Sushil Kumar Khetan, Whole-time Director & CEO. The reports of Statutory Auditor and Secretarial Auditor contained no qualifications or adverse remarks.

Meeting Duration and Conclusion

The AGM commenced at 11:30 a.m. (IST) and concluded at 12:50 p.m. (IST), including 15 minutes allotted for e-voting during the AGM. The e-voting facility on the CDSL platform remained available for up to 15 minutes after meeting conclusion for shareholders who hadn't voted earlier.

Results Disclosure

The voting results along with Scrutinizer's Report were to be submitted separately within stipulated time per Regulation 44 of SEBI Listing Regulations. Results were to be placed on the company website (www.emamipaper.com) and CDSL website (www.evotingindia.com) and communicated to stock exchanges.
