Emcure Pharmaceuticals Limited announced the consolidation of its shareholding in biopharma subsidiary Gennova Biopharmaceuticals Limited ("Gennova") through a regulatory filing dated July 13, 2026.
The company is acquiring the entire 12.05% minority stake in Gennova held by Dr. Sanjay Singh and others. This transaction will increase Emcure's ownership to 100%, making Gennova a wholly owned subsidiary.
Concurrently, a leadership transition was announced. Mr. Samit Mehta has been appointed as Whole Time Director & CEO of Gennova Biopharmaceuticals Limited. Under his leadership, Gennova will focus on its biologics franchise including products Elaxim®/TENECTASE®, Vintor®, Xgrast®/PEGEX®, and Hamsyl®, along with biosimilars development and adjacent therapeutic platforms.
The company stated that the transaction is not expected to have a material impact on Emcure's consolidated financials or its capital allocation framework. Emcure's deleveraging trajectory, capex plans, and R&D investment plans remain unchanged.
Mr. Satish Mehta, Managing Director & CEO of Emcure Pharmaceuticals Limited, acknowledged Dr. Sanjay Singh's nearly two decades of scientific leadership at Gennova. The acquisition simplifies Gennova's ownership structure and positions it for growth in biologics and biosimilars under the "One Emcure" framework.
The disclosure was filed under reference number EPL/CS/SE/0058/2026 and signed by Amruta Yangalwar, Company Secretary & Compliance Officer (Membership Number: A25687).
