Takeover Proposal Overview

EQT Holdings Limited announced on 21 August 2026 that it has received an unsolicited takeover proposal from BGH Capital. BGH Capital offered A$24.75 in cash for each EQT share, which values the target at A$663 million (approximately US$472 million). The per‑share price represents a 22.4 % premium to EQT’s closing price on Thursday and is marginally higher—by 0.8 %—than the offer previously made by TPG, which stood at A$24.55 per share.

The BGH proposal is conditional upon the satisfactory completion of due‑diligence investigations and the final approval of BGH’s Investment Review Committee. The bidder has not sought exclusivity for the due‑diligence phase or for negotiating definitive transaction documents.

EQT’s board has indicated that it will review the proposal together with its financial and legal advisers and will provide an update to shareholders when it deems appropriate.
