1. Memorandum of Understanding with Telangana State Legislature Secretariat
- The Board took note of an MoU for building, operating, and transferring 119 Constituency Development & Sustainability Bridge Foundations.
- This initiative aligns with EQUIPPP's proven strategy of generating standalone IP revenue through its proprietary "Concept-to-Commissioning" approach for Public-Private Partnerships and Cross Sector Collaborations.
- The company has successfully adopted similar institutional models through initiatives including Karya Foundation (TTD ICCC), BFSI Consortium (Government of Telangana), and Blue Cross Hyderabad (GHMC).
- Under this model, the company either incorporates or partners with non-profit institutions, deploys proprietary IP, technology platforms, professionals and programme management capabilities, and generates recurring revenues through technology, implementation, licensing, M&A and professional services without any cost to the government.
- The 119 Foundations provide an opportunity to replicate this proven model at scale.
2. Establishment of Project Management Office (PMO)
- The Board approved establishment of a dedicated PMO in line with the MoU and related Constituency Development Exchange (CDX) business opportunities.
- The PMO will initiate implementation through a pilot project.
- Responsibilities include planning, coordinating, implementing, supervising, monitoring, and reviewing execution of the pilot project.
- The PMO will create a scalable implementation framework for future CDX opportunities.
3. Appointment of Additional Director
- Mr. Vegendla Srinivasa Rao (DIN: 02159947) appointed as Additional Director (Non-Executive, Non-Independent).
- Appointment recommended by the Nomination and Remuneration Committee.
- Term: From July 20, 2026 until the conclusion of the ensuing Annual General Meeting.
- Profile: Former Chief Digital Officer - Tech Manindra with extensive experience in information technology industry having held various roles at Tata Consultancy Services (TCS), Infosys, iGATE, and Satyam Computers. Has worked on technology, business transformation, and consulting engagements for clients across multiple countries. Has worked with Boards of Directors, CXOs, senior executives, and government officials. Has been associated with establishing a super-specialty hospital, medical college, and companies in smart metering, energy management, software products, platforms, and investment funding. Also associated with startup mentoring and has participated as author and speaker at industry and professional forums.

4. Authorization for PMO Leadership
- Mr. Vegendla Srinivasa Rao authorized to lead/act as an Advisor/Interim Officer of the PMO.
- Responsible for creating the structure and business model for effective implementation of the pilot project.
- Concerned Directors and executives shall extend all necessary cooperation, support, and assistance as required.
