The 39th Annual General Meeting was held on Wednesday, 29th July 2026 at 3:30 PM (IST) through Video Conference (VC) / Other Audio-Visual Means (OAVM).

Proposed Resolutions and Implications

Ordinary Business:

1. To consider and adopt the Audited Financial Statements of the Company for the financial year ended 31st March 2026 together with the Reports of Directors and the Auditors thereon.

2. To declare final dividend of Rs. 25/- per equity share of Rs. 10 each i.e., 250%

3. To appoint a director in place of Mr. B Mohan (DIN: 00261434), who retires by rotation and is eligible for re-appointment

Special Business:

4. Approval of the appointment of Mr. Curtis Evan Jewell (DIN: 11666741) as Non-Executive Nominee Director

5. Ratification of Remuneration payable to Cost Auditors

6. Approval for payment of Commission to Independent Directors

Voting Process and Methods

The Company provided remote e-Voting facility to members to exercise their votes electronically from Sunday 26th July at 9:00 a.m. till 28th July 2026 at 5:00 p.m. on the resolutions set out in the Notice of the AGM. Members who were present at the AGM and had not previously cast their votes by remote e-voting were provided facility to cast their votes during the AGM and up to 15 minutes after the conclusion of the AGM.

Meeting Proceedings and Attendance

The quorum was present with 49 Members present through VC, including corporate shareholders. The necessary quorum was present throughout the Meeting. Mr. G Balaji, Company Secretary, welcomed members and introduced all Board of Directors including Statutory and Secretarial Auditors. Mr. Ramesh Rajan, Independent Director, introduced Mr. Curtis Evan Jewell as Chairman of the Board. Seven questions were raised by shareholders in the Q&A Chat box, which were addressed by Mr. Rohit Gambhir, Managing Director and Mr. B Mohan, Director & CFO.
