Meeting Details

The 40th Annual General Meeting was held on Thursday, 24th September 2026 at 12:00 Noon (IST) through Video Conferencing/Other Audio-Visual Means. The proceedings were deemed to have been conducted at the registered office of the Company at Sohan Nagar, P.O. Charubeta, Khatima-262308, Distt. Udham Singh Nagar, Uttarakhand. The total number of shareholders as on the record date (17th September 2026) was 37,682. Attendance included 6 Promoters & Promoter Group members and 45 Public shareholders through VC/OAVM.

Proposed Resolutions and Implications

Four ordinary resolutions were considered:

1. Adoption of Financial Statements: To receive, consider and adopt the Standalone and Consolidated Audited Financial Statements for the financial year ended 31st March 2026 together with Reports of Board of Directors and Auditors.

2. Final Dividend Declaration: To declare a final dividend of ₹0.25 per equity share of ₹5 each for FY 2025-26.

3. Director Re-appointment: To appoint Mr. Ayush Vardhan Singhania (DIN: 05176205) as Whole-Time Director who retires by rotation.

4. Cost Auditor Remuneration: Ratification of remuneration to Cost Auditors for the financial year ending 31st March 2027.

Promoter/Promoter Group was interested only in Resolution 3 (Director re-appointment) and not interested in Resolutions 1, 2, and 4.

Remote e-voting was conducted through National Securities Depository Limited (NSDL) from 9:00 AM IST on Monday, 21st September 2026 to 5:00 PM IST on Wednesday, 23rd September 2026. E-voting was also conducted during the AGM for members attending through VC/OAVM who had not participated in remote e-voting. The cut-off date for determining voting eligibility was 17th September 2026.

Scrutinizer's Role and Findings

Mr. Akash Jain, Company Secretary in Practice (Membership No. F9617 and CP No. 9432), was appointed as Scrutinizer by the Board of Directors vide resolution dated 11th August 2026. His responsibilities included ensuring a fair and transparent e-voting process and submitting a Consolidated Scrutinizer's Report. The Scrutinizer confirmed that:

  • The remote e-voting and e-voting process was conducted properly
  • Votes were unblocked on 24th September 2026 at 1:00 PM in the presence of two witnesses
  • All resolutions were passed with requisite majority
  • The voting records would be handed over to the Chairman or Company Secretary for safe custody
