Euphoria Infotech (India) Limited has issued a notice for its 26th Annual General Meeting (AGM) scheduled to be held on Tuesday, September 29, 2026 at 12:00 P.M. (IST) through Video Conferencing (VC) / Other Audio Visual Means (OAVM). The meeting will be conducted virtually without physical presence of members as permitted by SEBI and MCA circulars.

The AGM will transact the following ordinary business:

  • Item 1: To consider and adopt the Audited Standalone Annual Financial Statements for the financial year ended March 31, 2026, along with Reports of the Board of Directors and Auditors, and the Audited Consolidated Annual Financial Statements for the same period with the Report of the Auditors.
  • Item 2: To appoint a director in place of Mrs. Soma Das (DIN: 06383280), who retires by rotation and is eligible for re-appointment.

Director Re-appointment Details

Mrs. Soma Das, aged 58 years, holds a Ph.D. in Arts from the University of Calcutta and has 27 years of experience in education. She currently serves as a Lecturer in Political Science at East Calcutta Girls' College, Kolkata. She was appointed on July 10, 2019, attended all 5 board meetings during FY 2025-26, holds no shares in the company, and is not related to any other directors or key managerial personnel. She draws no remuneration from the company.

Record Date and Book Closure

The Register of Members and Share Transfer Books will remain closed from Wednesday, September 23, 2026 to Tuesday, September 29, 2026 (both days inclusive) for annual closure of books. The cut-off date for determining voting rights is Tuesday, September 22, 2026.

Voting Arrangements

The company provides remote e-voting facility through National Securities Depository Limited (NSDL). The remote e-voting period begins on Saturday, September 26, 2026 at 9:00 A.M. and ends on Monday, September 28, 2026 at 5:00 P.M. Members can also vote during the AGM through the e-voting system if they haven't voted remotely.

Dividend and IEPF Status

The company confirms it has not paid any dividend in the past, and therefore no details of unpaid/unclaimed dividend for transfer to IEPF are applicable. No shares are due for transfer to IEPF as there are no equity shares with unpaid dividends for seven consecutive years or more.

CS Md. Shahnawaz, Practicing Company Secretary (ACS No. 21427, CP No. 15076) has been appointed as Scrutinizer to oversee the voting and remote e-voting process.
