Exhicon Events Media Solutions Limited disclosed the outcome of its Preferential Allotment Committee meeting held on August 13, 2026, pursuant to Regulation 30 of SEBI Listing Regulations.
The meeting was held at the company's registered office at Unit No. 134 & 146, 1st Floor, Andheri Industrial Estate, Plot No. 22, Veera Desai Road, Andheri West, Mumbai, Maharashtra, 400053, from 4:30 PM to 5:30 PM.
The Committee approved the allotment of 6,87,800 equity shares of face value ₹10 each at an issue price of ₹315 per share (including a premium of ₹305 per share). These shares were allotted upon exercise of conversion option by warrant holders belonging to the non-promoter category.
The allotment was made for cash upon receipt of the remaining 75% of the warrant exercise price, amounting to ₹236.25 per warrant. The total consideration received aggregates to ₹16,24,92,750 (Sixteen Crore Twenty-Four Lakhs Ninety-Two Thousand Seven Hundred and Fifty Rupees).
The conversion ratio was 1:1 - one equity share for every warrant exercised.

- Zainab Rizvi: 10,500 shares - ₹24,80,625
Authorization and Compliance
The directors were authorized to file the Return of Allotment with the Registrar of Companies in the prescribed form under Section 39 of the Companies Act, 2013.
The directors/MD/Company Secretary were authorized to handle all documentation, listing applications, demat admission with NSDL/CDSL, and lock-in compliance as per SEBI preferential issue guidelines.
