Dividend Declaration

The Board of Directors at their adjourned meeting held on July 28, 2026, recommended a final dividend of INR 110/- (Rupees One Hundred and Ten Only) per Equity Share (@1100% per Equity Share of Rs. 10/- each) for the financial year ended March 31, 2026. This is subject to approval of the Shareholders at the ensuing Annual General Meeting (AGM) to be held on Wednesday, August 26, 2026.

The dividend, if approved, will be paid within 30 days from the date of AGM. The Record date for dividend is Saturday, August 01, 2026.

TDS Provisions and Shareholder Requirements

In terms of the provisions of the Income-tax Act 2025, dividend paid shall be taxable in the hands of the shareholders, and the Company is required to deduct tax at source (TDS) at the time of payment/credit.

Shareholders must submit the requisite documents with the Company's Registrar and Share Transfer Agent, Cameo Corporate Services Limited, at https://investors.cameoindia.com/ on or before Thursday, August 6, 2026. Documents received after this date or through any other mode will not be considered.

Resident Shareholders

  • With PAN: TDS rate of 10%*
  • Invalid PAN/Without PAN/Inoperative PAN: TDS rate of 20%
  • Submission of Form No. 121 (erstwhile Form 15G or Form 15H) by resident individuals/HUF: NIL TDS, subject to validity and conditions.
  • For AIFs/Mutual funds/Insurance Companies/NPS/Others: Declaration of full beneficial interest and exemption quoting relevant provisions, along with copy of registration certificate/notification and attested PAN.
  • *Tax would not be deducted if aggregate dividend in FY 2026-27 does not exceed INR 10,000 for Resident Individuals.

Non-Resident Shareholders

  • Foreign Institutional Investors (FIIs)/Foreign Portfolio Investors (FPIs): 20% (plus surcharge and cess) or Tax Treaty Rate (whichever is lower). Documents required: SEBI Registration copy, Tax Residency Certificate (TRC) for FY 2026-27, Form 41 (erstwhile Form 10F) for FY 2026-27, PAN copy, TIN, and declaration of beneficial ownership.
  • Other Non-resident shareholders: 20% (plus surcharge and cess) or Tax Treaty Rate (whichever is lower). Documents required: TRC for FY 2026-27, Form 41 (erstwhile Form 10F), PAN copy, and declaration of beneficial ownership.
  • Tax resident of any notified jurisdictional area: Higher of 30%, rates in force, or rates specified in the Act.
  • The Company is not obligated to apply beneficial Tax Treaty rates and shall depend on document completeness and review.

Additional Provisions

  • Shareholders with multiple accounts under different status/category and single PAN: Higher tax rate applicable to the status will be considered on entire holding.
  • Shareholders holding shares on behalf of beneficial owners or acting as custodian: Must submit declaration containing details of actual beneficial owners by August 6, 2026, per Rule 203 of Income Tax Rules, 2026.

Notes

  • Shareholders are requested to update bank account details in their Demat accounts for timely dividend credit.
  • If tax is deducted at a higher rate, shareholders may claim refund in their income tax return.
  • Shareholders are responsible for any income tax demand arising from misrepresentation or omission of information.
  • Shareholders should update tax residential status, PAN, bank details, email, mobile numbers, and other details with depositories.
