Expo Engineering and Projects Limited has made a regulatory disclosure pursuant to Regulation 30 of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 regarding the conversion of share warrants into equity shares.

The Board of Directors at their meeting held on August 11, 2026 (commencing at 11:45 AM and ending at 04:20 PM) decided to allot 13,32,856 (Thirteen Lakh Thirty-Two Thousand Eight Hundred and Fifty-Six) convertible warrants to Mr. Murtuza Shaukatali Mewawala, categorized under the promoter category. This decision was taken after receiving the balance 75% of the subscription amount aggregating to ₹6,99,74,940.

The warrant conversion follows several prior approvals:

  • Shareholder approval obtained at the Extraordinary General Meeting held on June 27, 2025
  • In-principle approval letter dated September 13, 2025 received from BSE Limited
  • Board approval accorded on September 26, 2025 for allotment of 31,45,715 convertible warrants

Capital Structure Impact

Consequently, the Issued and Paid-up Share Capital of the Company has increased to ₹9,65,17,024 (Nine Crore Sixty-Five Lakh Seventeen Thousand Twenty-Four only) consisting of 2,41,29,256 (Two Crore Forty-One Lakh Twenty-Nine Thousand Two Hundred and Fifty-Six) Equity Shares of ₹4 each.

The allotment of equity shares will be made in dematerialized form. The new Equity Shares so allotted shall rank pari-passu with the existing Equity Shares of the Company.
