Strategic Sale of IDBI Bank to Fairfax Financial Holdings
The Ministry of Finance has approved M/s 10955230 Canada Inc., the parent entity of M/s Fairfax Financial Holdings Ltd., as the strategic buyer for IDBI Bank Ltd. in a landmark transaction valued at Rs. 52,878.0806181 Crores (Rupees Fifty-Two Thousand Eight Hundred Seventy-Eight Crore Eight Lakh Six Thousand and One Hundred Eighty-One only). This represents the largest foreign direct investment in India's financial sector to date.
Transaction Structure and Stake Distribution
The transaction involves the sale of 60.72% of IDBI Bank's total shareholding, comprising 30.48% from the Government of India and 30.24% from the Life Insurance Corporation of India (LIC). The proceeds will be divided in the same proportion between GoI and LIC. Post-transaction, the Government will retain a 15% residual equity stake while LIC will retain 19%, with both entities withdrawing their nominees from the Board and becoming public shareholders.
Bidding Process and Valuation Methodology
Of the five parties that initially submitted Expressions of Interest, four qualified based on eligibility criteria, and two ultimately submitted techno-financial bids to become Qualified Bidders. The valuation was conducted by two independent professional valuation agencies using two methodologies: the Market Multiple Method and the Asset Valuation Method. The stock market price, which fluctuated between Rs.61.01 to Rs.118.38 during the valuation period, was disregarded due to volatility and narrow trading. Instead, relative valuation using the market multiple method based on 31st March 2026 closing accounts for all public sector banks was employed.
The Asset Valuation Method considered both tangible and intangible assets, including land and properties, along with liabilities, to determine the fair net asset value as per the 31st March 2026 audited accounts. The benchmark price was set at Rs.75.99 per share, calculated as the average of the two independent valuations, with the winning bid exceeding both this benchmark and the fair value estimates of both valuation agencies.
Next Steps and Regulatory Compliance
The Successful Bidder must now present its credentials to the RBI for 'Fit & Proper' assessment and submit a roadmap for compliance with regulatory conditions prescribed during the EoI stage. For the residual shareholding, the Cabinet Committee on Economic Affairs has delegated powers to the Alternative Mechanism to undertake minority stake sales of the residual GoI shareholding through open market operations using standard operating procedures, while LIC will manage its residual shareholding in accordance with its internal procedures and regulatory directions.
Expected Impact on Banking Sector and Economy
The transaction is expected to have a significantly positive effect on India's banking and financial sector. Post-privatization, IDBI Bank will be able to generate funds without government assistance, with the strategic buyer expected to infuse private capital, introduce new technology, and implement better management practices to enhance business potential and competitiveness in both credit and deposit growth. The transaction is also expected to generate positive sentiment for economic reforms and improve the overall investment climate in India, particularly during times of geopolitical strain.
