FDC Limited has issued a notice regarding a scheduled Board of Directors meeting to be held on Tuesday, October 27, 2026. The meeting will take place at the company's registered office: FDC House, C-11 & 12, Dalia Industrial Estate, Oshiwara Village, Off New Link Road, Andheri (West), Mumbai – 400053, Maharashtra, India.
The Board will consider two main agenda items:
1. Consideration and Approval of Unaudited Financial Results: The Board will review and approve the unaudited Standalone and Consolidated Financial Results for the quarter and half year ended September 30, 2026. The financial results will be accompanied by Limited Review Reports issued by the company's Statutory Auditors.
2. Proposal for Buyback of Equity Shares: Pursuant to Regulation 29(1)(b) and other applicable provisions of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, the Board will consider and potentially approve a proposal for the buyback of fully paid-up equity shares of the Company. The buyback is proposed to be conducted through the tender offer route. The Board will determine the buyback size, price, and other terms and conditions, subject to compliance with Sections 68, 69 and 70 of the Companies Act, 2013, the SEBI (Buy-Back of Securities) Regulations, 2018, and other applicable laws and regulations.
The disclosure also confirms that the Trading Window of the Company remains closed for all Directors, Designated Persons, Connected Persons, and their Relatives since Thursday, October 01, 2026. The closure will continue until 48 hours after the declaration of the Unaudited Financial Results for the quarter and half year ended September 30, 2026. This measure is in accordance with the company's Code of Conduct for prevention of Insider Trading and SEBI (Prohibition of Insider Trading) Regulations, 2015, as previously intimated on September 25, 2026.
The notice has been submitted to both BSE Limited and National Stock Exchange of India Ltd. as required under regulation 29 of SEBI (Listing Obligation and Disclosure Requirements) Regulations, 2015.
