This is a regulatory disclosure filed by The Federal Bank Limited with the National Stock Exchange of India Limited and BSE Limited, pursuant to Regulation 30 of the SEBI Listing Regulations.

The disclosure informs that the following matters were approved by the members of the Bank at its 95th Annual General Meeting (AGM) held on August 21, 2026:

  • Re-appointment of Mr. Krishnan Venkat Subramanian (KVS Manian): He was re-appointed as Managing Director & Chief Executive Officer. Mr. Manian retires by rotation. His current appointment as MD & CEO is for a period of 3 years effective from September 23, 2024, pursuant to approvals already accorded by the Reserve Bank of India and the shareholders. He is not related to any other Director or Key Managerial Personnel of the Bank.
  • Re-appointment of Mr. Sankarshan Basu: He was re-appointed as an Independent Director of the Bank for a second consecutive term of three years, effective from October 01, 2026, to September 30, 2029. He is not liable to retire by rotation and is not related to any other Director or Key Managerial Personnel of the Bank.
  • Appointment of Joint Statutory Auditors: M/s. Price Waterhouse LLP, Kolkata, and M/s. K. S. Aiyar & Co., Mumbai, were appointed as the Joint Statutory Auditors of the Bank. Their term is for a period of three years, from the conclusion of the 95th AGM until the conclusion of the 98th AGM. This appointment is subject to the approval of the RBI every year.

The AGM commenced at 11:00 am and concluded at 11:56 am on August 21, 2026.

The disclosure confirms that none of the re-appointed Directors are debarred from holding the office of director by virtue of any SEBI order or any other authority, in line with the Stock Exchange Circular dated June 20, 2018.

Mr. Krishnan Venkat Subramanian (KVS Manian)

  • Brief Profile: Mr. Manian has a career in financial services spanning over four decades. He began at NELCO (a Tata Group company) and spent nearly three decades with the Kotak Mahindra Group, culminating in the role of Joint Managing Director. He assumed office as MD & CEO of Federal Bank in September 2024. He has managed businesses including Consumer Banking, Corporate Banking, Private Banking, Investment Banking, Treasury, and Institutional Equities. He holds a B.Tech. in Electrical Engineering from IIT (BHU), Varanasi, is an Associate Cost and Works Accountant, and has an MMS in Finance from JBIMS, Mumbai.

Mr. Sankarshan Basu

  • Brief Profile: Mr. Basu is a professor of quantitative finance and risk management at IIM Bangalore, with over 19 years of experience in teaching, research, consulting, and academic administration covering finance, financial markets, banking, and risk management.

  • Brief Profile: The firm was established in 1949 and converted to an LLP in 2020. It is registered with ICAI (Firm Registration No. 301112E/E300264), headquartered in Kolkata, and has a presence in 16 Indian cities. It is a member firm of Price Waterhouse & Affiliates (Network Registration No. NRN/E/14).
