Transaction Update
This disclosure serves as a follow-up to the company's earlier intimation dated October 07, 2026 (reference number FC/SE/2026-27/48). GlobalBees Brands Private Limited ("Globalbees"), a subsidiary of Brainbees Solutions Limited ("the Company"), has executed an addendum to the Memorandum of Understanding (MoU) on October 16, 2026.
Revised Timeline
The addendum extends the timeline for completion of the proposed transaction from the original deadline of October 15, 2026, to on or before November 30, 2026. This extension was made at the request of the purchasers.
Transaction Details (Unchanged)
The underlying transaction involves the sale of Globalbees' entire 51.54% shareholding in Mush Textile Private Limited ("Mush"), a step-down subsidiary of the Company. The purchasers are Mr. Nihar Gosalia (acquiring 13.45% stake) and Mr. Vaishvik Brahmbhatt (acquiring 38.09% stake), both existing shareholders of Mush. The aggregate consideration remains unchanged at ₹5,68,93,940 (Rupees Five Crore Sixty-Eight Lakh Ninety-Three Thousand Nine Hundred Forty Only).
Terms and Conditions
All other terms and conditions of the original MoU dated October 07, 2026, remain unchanged except for the revised completion timeline specified in the addendum.
