Meeting Details
The 12th Annual General Meeting of Fone4 Communications (India) Limited was held on Monday, August 31, 2026. The meeting was scheduled and commenced at 04:00 PM and concluded at 04:13 PM (duration: 13 minutes). The meeting was conducted through Video Conferencing (VC)/Other Audio-visual Means (OAVM) in accordance with circulars and guidelines issued by the Ministry of Corporate Affairs and the Securities and Exchange Board of India.

Proceedings
The meeting was chaired by Mr. Sayyed Imbichi Haris Sayyed, Managing Director, who confirmed that quorum was present and declared the meeting in order.
Ms. Divya Shekhawat, Company Secretary and Compliance Officer, welcomed members and explained the e-voting process. Members who had not cast their votes through remote e-voting prior to the AGM were allowed to cast votes during the meeting through the CSDL e-voting website. Voting was permitted until 15 minutes after conclusion of the meeting (until 04:28 PM).
Mr. Amit Saxena was appointed as Scrutinizer to scrutinize the remote e-voting process in a fair and transparent manner.
Business Transacted
Ordinary Business:
1. To receive, consider and adopt the Audited Financial Statements of the Company for the financial year ended 31st March 2026, together with the Reports of the Board of Directors and the Auditors thereon.
2. To appoint a Director in place of Ms. Roudha Zerlina (DIN: 05168024), who retires by rotation and, being eligible, offers herself for re-appointment.
Special Business:
3. Approval for giving loans, guarantees, providing securities and making investments under Section 186 of the Companies Act, 2013.
4. To approve the power to borrow funds pursuant to the provisions of Section 180(1)(c) of the Companies Act, 2013, not exceeding ₹100 crores.
Additional Information
The Company Secretary informed that relevant statutory registers and documents, including the Register of Members, Register of Key Managerial Personnel, Register of Contracts and Arrangements and other documents required to be maintained under the Companies Act, 2013, are available for inspection by members.
