Asper. AI Inc. ("Asper USA"), a wholly owned subsidiary of Fractal Analytics Inc. and step-down subsidiary of Fractal Analytics Limited, has contracted with certain key employees and acquired certain assets and liabilities of Pricing One SA, a Swiss company. The transaction was executed without acquisition of any shares or equity interest in Pricing One SA.
The acquisition was made pursuant to a Framework Agreement that includes an Asset Purchase Agreement, a Tripartite Creditors Agreement, and all other related documents.

- Liabilities acquired: CHF 997,307.76 (₹11.5 crore)
- Assets acquired: CHF 322,001 (₹3.71 crore)
The assets comprise all intellectual property and know-how used for the operation of the P1 Solution, which is Pricing One's proprietary software platform that leverages artificial intelligence and advanced analytics. The platform is used internally to deliver pricing strategy consulting, revenue optimization, and consumer testing and tracking services to clients.
The amounts are subject to final calculation and adjustment for foreign exchange fluctuations.
Transaction Timeline
The transaction was completed on November 2, 2026, which is the closing date of the Framework Agreement. The agreement is effective from this closing date.
