Details of the Correction

The corrigendum addresses a printing error found at Item No. 4 (Special business) on page 2 of the original AGM notice. The text for the special resolution under this item has been replaced in its entirety.

Special Business - Item No. 4

Purpose: To seek member approval for the alteration of the object clause of the company's Memorandum of Association.

Resolution Type: Special Resolution

Legal Provisions: The resolution is proposed pursuant to Section 4, Section 13, and other applicable provisions of the Companies Act, 2013.

Specific Change: The resolution seeks to replace the existing Clause II (A) (1) of the Memorandum of Association. The new business objects encompass:

  • Contracting and sub-contracting for construction, modification, repair, alteration, removal, redecoration, redesigning, enlargement, improvement, and design of civil works.
  • Work on commercial/residential buildings, roads, approach roads, streets, circles, squares, parks, gardens, statues, parking places, bridges, dams, watercourses, reservoirs, tunnels, earthworks, sewers, tanks, drains, sewage systems, lighthouses, towers, transmission towers, pipelines, underground cables, railway tracks, railway sidings, runways, shipyards, stockyards, and culverts.
  • Acting as buyers, sellers, distributors, importers, repairers, and dealers of agricultural machinery, farm equipment, tractors, harvesters, tools, implements, spare parts, accessories, and ancillaries used in farming, horticulture, and allied agricultural operations.

Approval Required: The alteration is subject to approval from the Registrar of Companies, Mumbai.

Authorization: The Board of Directors is authorized to take all necessary actions, sign documents, and file required e-Forms with the Registrar of Companies to implement this resolution.
