Key Decisions and Approvals
1. Appointment of Statutory Auditors
The Board considered and recommended for shareholder approval at the ensuing 39th Annual General Meeting (AGM) the appointment of Samria Kabra & Associates, Chartered Accountants (Firm Registration No. 109043W), as the new statutory auditors. This appointment is for their first term of five consecutive years. They will replace the retiring auditor, Mittal & Associates, Chartered Accountants (Firm Registration No. 106456W), who will complete their first term at the forthcoming 39th AGM.
The appointment is scheduled to be effective from the conclusion of the 39th AGM and will last until the conclusion of the 44th AGM, subject to shareholder approval.
2. 39th Annual General Meeting (AGM) Details
The Board approved the holding of the 39th Annual General Meeting on Wednesday, September 30, 2025, at 3:00 PM. The meeting will be conducted via Video Conferencing or other audio-visual means. E-voting facilities will be provided to members through CDSL. The Board also approved the appointment of M/s VKM & Associates, PCS as the Scrutinizer for the 39th AGM.
The notice for the 39th AGM and other related business was approved by the Board.
3. Promoter Classification
Pursuant to a disclosure made on August 28, 2026, regarding an inter-se transfer of shares among promoters and immediate relatives under Regulation 10(6) of the SEBI SAST Regulations, the Board approved the automatic classification of Mr. Ravi Pilani as a Promoter of the company. This classification is in accordance with Regulation 31A(6) of the Listing Regulations.
