GE Vernova T&D India Limited has issued a comprehensive communication regarding tax deduction procedures for the proposed final dividend for Financial Year 2025-26.

Dividend Recommendation

The Board of Directors at their meeting held on May 18, 2026 recommended payment of final dividend of Rs. 10.00 per equity share (@ 500%) of face value of Rs. 2/- for the Financial Year 2025-26. This dividend payment is subject to approval by members at the ensuing Annual General Meeting scheduled to be held on September 9, 2026.

Record Date and Payment Details

The Record Date for dividend is fixed as Friday, August 21, 2026. In terms of the provisions of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015, dividend will be paid to members in electronic mode only.

Tax Deduction Requirements

In accordance with the provisions of the Income-tax Act, 2025, dividend declared and paid by the Company is taxable in hands of shareholders for Tax Year 2026-27 (FY 2026-27). The Company is required to deduct Tax at Source (TDS) at applicable rates on dividend payable to shareholders prescribed under the IT Act, read with applicable Double Taxation Avoidance Agreements (Tax Treaties), wherever applicable.

Resident Shareholder TDS Rates

  • Valid PAN: 10% TDS if total dividend exceeds Rs. 10,000 during Tax Year 2026-27
  • No/Invalid PAN: 20% TDS
  • Inoperative PAN (not linked with Aadhar): 20% TDS
  • Form 121 submission: Nil TDS for resident individual shareholders
  • Lower/NIL deduction certificate under Section 395: Rate specified in certificate
  • Mutual Funds (Schedule VII): Nil TDS with self-declaration and PAN
  • Entities under Section 393(4) and 393(5): Nil TDS with appropriate documentation
  • Alternative Investment Funds (Category I and II): Nil TDS with self-declaration and registration certificate
  • Other exempt entities: Nil TDS with adequate documentary evidence

Non-Resident Shareholder TDS Rates

  • Default rate: 20% plus applicable surcharge and cess
  • Tax Treaty Rate: Lower rate available with submission of TRC, Form 41, SEBI registration certificate (for FIIs/FPIs), and self-declaration per Annexure C
  • Notified Jurisdictional Area residents: 30% TDS
  • Category III AIF/Retail Scheme/ETF in IFSC: 10% plus surcharge and cess with PAN and documentation
  • Category I FPIs: 10% plus surcharge and cess with valid PAN
  • Sovereign Wealth funds and Pension funds: Nil TDS with notification evidence and self-declaration
  • ADIA subsidiaries: Nil TDS with self-declaration
  • Lower/NIL tax deduction certificate: Rate specified in certificate

Documentation Submission Deadline

All required documents must be uploaded to MUFG Intime India Private Limited's portal by Monday, August 24, 2026. Physical documents must reach the RTA at Rasoi Court, 5th Floor, 20 Sir R N Mukherjee Road, Kolkata - 700001 before this date.

KYC Compliance for Physical Shareholders

Dividend will be withheld if shares held in physical folio are not KYC compliant. Physical security holders must furnish PAN, Nomination, Contact Details, Bank Account Details, and Specimen Signature by August 24, 2026 using Forms ISR-1, ISR-2, ISR-3, SH-13, SH-14.

Bank Account Updates

Demat holders must update bank details with their depository participants. Physical holders must send scanned copy of completed NACH Mandate Form to investor.helpdesk@in.mpms.mufg.com.
