Proceedings Overview

Mr. Sajid Malik, Chairman and Managing Director, presided over the meeting and declared quorum present. Directors, Chairperson of Audit Committee, Stakeholder Relationship Committee, Nomination and Remuneration Committee, CEO, CFO, and Company Secretary were present. Auditor Reports

It was confirmed that the Statutory Auditor's Report on standalone and consolidated financial statements for FY ended March 31, 2026 contains no qualifications, observations, or adverse comments. The Secretarial Audit Report also contains no qualifications, reservations, observations, adverse remarks, or disclaimers with material adverse effect.

Resolutions Transacted

Following items of business were transacted as per the Notice of 44th Annual General Meeting:

1. Ordinary Resolution: To consider and adopt Audited Financial Statements for FY ended March 31, 2026 and reports of Board of Directors and Auditors

2. Ordinary Resolution: To consider and adopt Audited Consolidated Financial Statements for FY ended March 31, 2026 and report of Auditors

3. Ordinary Resolution: To appoint Dr. Yogita Shukla (DIN: 09286545), who retires by rotation, as a director

4. Ordinary Resolution: To appoint Statutory Auditors of the Company and fix their remuneration (Special Business)

5. Special Resolution: Approval of Genesys International Corporation Limited – Employee Stock Option Plan (Genesys ESOP Scheme 2026)

6. Special Resolution: Grant of Stock Options to employees of Subsidiary, Associates Company/ies under "GENESYS ESOP SCHEME - 2026"

7. Special Resolution: Approval for variation/change in objects of Qualified Institutions Placement (QIP) issue as stated in Placement Document dated May 17, 2025

Voting Process

The Company Secretary informed that shareholders who could not cast votes through remote e-voting could still vote at the AGM. The e-voting facility remained open for 15 minutes after meeting conclusion. Proceedings were video recorded.

Voting Results

Voting results will be intimated to Stock Exchanges subsequent to receipt of Scrutinizer's Report within prescribed time.
