3. Re-appointment of Mr. Amit Agarwal as Whole Time Director and CEO: Special resolution to re-appoint Mr. Amit Agarwal for a period of five years from August 15, 2026 to August 14, 2031. He will serve as Key Managerial Personnel under Section 203 of the Companies Act, 2013. Approval of Loans, Guarantees, Securities, and Investments under Section 186(2): Special resolution to authorize the Board to make loans, provide guarantees/securities, and make investments in other body corporates. The aggregate amount of such transactions together with existing exposures may exceed statutory limits but shall not exceed ₹250 Crore.
