The 42nd Annual General Meeting was held on August 31, 2026, at 11:00 A.M. through Video Conferencing/Other Audio Visual Means. The deemed venue was the Registered Office at P&G Plaza, Cardinal Gracias Road, Chakala, Andheri East, Mumbai – 400 099. The meeting commenced at 11:00 A.M. and concluded at 01:08 P.M.

Voting Process
E-voting facility was provided through NSDL, commencing on Friday, August 28, 2026, at 9:00 A.M. and ending on Sunday, August 30, 2026, at 5:00 P.M. Members who had not voted earlier were given 30 minutes post conclusion of the AGM (until 1:38 P.M.) to complete e-voting. Mr. Kamalax Saraf of M K Saraf & Associates LLP was appointed as the Scrutinizer for vote scrutiny.
Resolutions Proposed
The following six resolutions were proposed for shareholder approval:
Ordinary Business:
1. To adopt the Financial Statements for the Financial Year ended March 31, 2026, together with the Reports of the Auditors and Directors thereon (Ordinary Resolution)
2. To confirm payment of interim dividend and to declare final dividend for the Financial Year ended March 31, 2026 (Ordinary Resolution)
3. To re-appoint Mr. Pramod Agarwal, Non-Executive Director, retiring by rotation (Ordinary Resolution)
Special Business:
4. To appoint Mr. Ghanashyam Hegde as a Non-Executive Director of the Company, liable to retire by rotation (Ordinary Resolution)
5. To appoint Mr. Robin Thadathil as a Whole-time Director of the Company, liable to retire by rotation (Ordinary Resolution)
6. To appoint Mr. Krishnamurthy Iyer as an Independent Director of the Company, not liable to retire by rotation (Special Resolution)
