  • No TDS if aggregate dividend during FY 2026-27 does not exceed ₹10,000
  • Option to submit Form 121 declaration for exemption subject to eligibility

Resident Non-Individuals

Specific categories may qualify for Nil TDS rate upon submitting required documentation:

  • Insurance Companies: Declaration of beneficial interest, PAN, and IRDAI registration certificate
  • Mutual Funds: Self-declaration under Schedule VII (Table Sl No 20 or 21) of Income Tax Act, 2025, PAN, and registration certificate
  • Alternative Investment Funds (AIF): Self-declaration of exemption under Schedule V (Sl No 1) for Category I or II AIFs, PAN, and registration certificate
  • Corporations established by Central Act: Self-declaration of exemption under specific Act, PAN, and registration certificate
  • Other exempt entities: Documentary evidence of exemption under Section 393

TDS Provisions for Non-Resident Shareholders

  • TDS withheld at 20% (plus applicable surcharge and cess) under Section 393
  • Option to avail Double Tax Avoidance Agreement (DTAA) benefits if more beneficial
  • Required documents: PAN (if available), name, email, contact number, foreign address, tax residency certificate, Tax Identification Number of residency country, Form 41 filed electronically, declaration of no Permanent Establishment in India
  • Foreign Institutional Investors/Foreign Portfolio Investors additionally require SEBI registration certificate

Lower Withholding Certificate

Shareholders (both resident and non-resident) may provide certificate under Section 395 of Income Tax Act, 2025 for lower/NIL withholding of taxes upon submission of self-attested copy.

Important Deadlines and Procedures

  • All documents must be uploaded with RTA at specified portal by end of Thursday, August 13, 2026
  • No communications regarding tax determination will be entertained after Record Date
  • Company will rely on Register of Members as on Record Date for TDS compliance
  • No claims against Company for taxes once deducted
  • Shareholders with multiple accounts under different status/category with single PAN will have higher applicable tax rate applied to entire holding
  • Incomplete/unsigned forms and declarations will not be considered
