  • Appointment of Ms. Priyanka Sinha (DIN: 06379983) as an Additional Director (Non-Executive, Independent) of the Company, effective from August 12, 2026. Her term is for two (2) consecutive years commencing from August 12, 2026.
  • The appointment is subject to approval of Members at the General Meeting/Postal Ballot as per Regulation 17 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 and other statutory/regulatory approvals.
  • The appointment was made pursuant to the recommendation of the Nomination and Remuneration Committee of the Company and approved via Circular Resolution on August 12, 2026.
  • Cessation of Mr. Ashok Kumar Gupta (DIN: 08786735) as Independent Director, who completed his first term and ceased to be a Director with effect from the close of business hours on August 12, 2026.
  • The Board and Management placed on record its deep appreciation for Mr. Gupta's invaluable contributions, guidance and services during his tenure.

Ms. Priyanka Sinha is a strategic consultant and globally experienced General Counsel, Managing Director and Board Member with extensive experience advising Boards, CEOs, promoters, private equity investors and multinational organizations on:

  • Legal strategy, corporate governance, enterprise risk, compliance, organizational transformation and Global Capability Centre (GCC) strategy
  • Executive leadership experience across telecommunications, technology, IT/ITeS, consumer, healthcare, manufacturing, QSR, Alcobev and hospitality sectors
  • Cross-border transactions, regulatory challenges, governance reforms and business transformation across multiple jurisdictions

Areas of expertise: Board and Corporate Governance, Enterprise Risk Management, Legal, Risk & Compliance Transformation, M&A and Strategic Transactions, GCC Strategy and Commercialization, Regulatory Strategy, Commercial Contracting and Negotiations, and Organizational Design & Executive Advisory.
