Details of the Scheme

The disclosure concerns the Scheme of Amalgamation of Alcon Builders and Engineers Private Limited (Transferor Company No. 1) and Jogbani Highway Private Limited (Transferor Company No. 2) with and into GPT Infraprojects Limited (Transferee Company). Both transferor companies are wholly-owned subsidiaries of GPT Infraprojects Limited. The scheme is being undertaken pursuant to Sections 230 to 232 of the Companies Act, 2013.

Key Development and Date

The Hon'ble National Company Law Tribunal (NCLT), Kolkata Bench, pronounced its order on the scheme on September 15, 2026. The order was officially uploaded on the NCLT's website on September 16, 2026.

NCLT Directions

The NCLT has directed the convening of meetings for approval of the scheme within 90 days from the date of the order's pronouncement (September 15, 2026).

  • A meeting of the equity shareholders of the Transferee Company (GPT Infraprojects Limited) must be convened.
  • A meeting of the secured creditors of Transferor Company No. 1 (Alcon Builders) and the Transferee Company must be convened.
  • A meeting of the unsecured creditors of Transferor Company No. 1 (Alcon Builders) and the Transferee Company must be convened.

The date and time for these meetings are to be decided by the Chairperson in consultation with the Transferee Company.

Meetings Dispensed With

The NCLT has dispensed with the requirement to convene the following meetings:

  • Meeting of the equity shareholders of both Transferor Companies (Alcon Builders and Jogbani Highway).
  • Meeting of the preference shareholders of Transferor Company No. 2 (Jogbani Highway).
  • Meeting of the unsecured creditors of Transferor Company No. 2 (Jogbani Highway).

Secured Creditors of Jogbani Highway

There was no requirement to convene a meeting of the secured creditors of Transferor Company No. 2 (Jogbani Highway) as the company has no secured creditors.
