Key Agenda Items and Quantitative Figures

1. Proposal for raising funds through Qualified Institutions Placement (QIP): The board will consider and evaluate a proposal to raise funds aggregating up to ₹90 Crore (Rupees Ninety Crore only). The issuance may include eligible securities such as Equity Shares and/or other securities convertible into or exchangeable for Equity Shares. The board will also consider the proposed size, structure, pricing, terms and conditions, utilisation of proceeds, and the appointment of intermediaries. This proposal is subject to requisite approvals from shareholders, regulatory authorities, stock exchanges, and other applicable authorities, and will be conducted in accordance with the Companies Act, 2013, SEBI (ICDR) Regulations, 2018, and SEBI (LODR) Regulations, 2015.

2. Alteration of Main Objects Clause of the Memorandum of Association: The board will consider and approve a proposal to alter the MOA to enable the company to undertake new businesses. The proposed new business areas are:

  • Information Technology and related services
  • Data Centres, data storage, data processing, cloud infrastructure and allied digital infrastructure
  • Manufacturing, processing, assembling, testing, packaging, designing and development of semiconductors, semiconductor devices, components and related technologies
  • Such other allied, ancillary and related activities. This alteration is subject to the approval of the Members of the Company by way of a Special Resolution and other applicable legal approvals.

3. Other Agenda Items: The board will also:

  • Consider and approve the Notice of the 39th Annual General Meeting for the year ended March 31, 2026.
  • Consider and fix the Book Closure along with the Record Date for the forthcoming AGM.
  • Consider and approve the appointment of a Scrutinizer for the AGM (referred to as the 83rd AGM in one instance, though the notice is for the 39th).
  • Consider any other matter with the permission of the Chair.
