Board Meeting Outcomes
Gujarat Energy Limited disclosed that GSPL Transmission Limited (GTL) has received final listing and trading approval from BSE Limited and National Stock Exchange of India Limited for its equity shares on 28th September, 2026.
The shares shall be listed and admitted for trading with effect from 30th September, 2026.
Scheme of Arrangement Details
The Composite Scheme of Amalgamation and Arrangement was approved by the Ministry of Corporate Affairs vide its order dated April 09, 2026 (with reference to April 08, 2026 in some sections).
The scheme involved:
- Amalgamation of Gujarat State Petroleum Corporation Limited (GSPC/Transferor Company 1) with Gujarat Gas Limited (now Gujarat Energy Limited)
- Amalgamation of Gujarat State Petronet Limited (GSPL/Transferor Company 2) with Gujarat Gas Limited
- Amalgamation of GSPC Energy Limited (GSPC Energy/Transferor Company 3) with Gujarat Gas Limited
- Demerger of the Gas Transmission Business Undertaking of Gujarat Gas Limited (Demerged Company) and vesting the same into GSPL Transmission Limited (Resulting Company)
Share Allotment Details
- Total shares allotted: 31,27,43,617 Equity Shares of ₹10 each
- Allotment ratio: 1 Fully Paid-Up Equity Share of GSPL Transmission Limited for every 3 Fully Paid-Up Equity Shares of Gujarat Gas Limited held
- Record date: 2nd July, 2026
- Date of allotment: 8th July, 2026
- Appointed date: 1st April, 2025
- Effective date: 1st May, 2026
Capital Structure Changes
Prior to the scheme, the paid-up Equity Capital of GSPL Transmission Limited was ₹5,00,000 consisting of 50,000 equity shares of Face Value of ₹10 each, which was cancelled pursuant to the Scheme of Demerger.
Post arrangement, the issued, subscribed and paid-up equity capital of GSPL Transmission Limited is ₹3,12,74,36,170 consisting of 31,27,43,617 equity shares of face Value of ₹10 each fully paid.
