Nature and Purpose of the Meeting

The Fund-Raising Committee meeting was held to approve the issue and allotment of equity shares through a Qualified Institutions Placement (QIP) that opened on August 25, 2026 and closed on August 28, 2026.

Details of Resolutions Passed

The Committee approved the allotment of 2,11,86,440 Equity Shares of face value of ₹1 each to qualified institutional buyers at an issue price of ₹354 per share (including a premium of ₹353 per share).

The issue price includes a discount of ₹18.57, representing 4.98% of the floor price as determined under SEBI ICDR Regulations.

The total amount raised through the QIP is ₹749,99,99,760.

Financial Impact

The paid-up equity share capital of the Company has increased from ₹10,89,65,265 (consisting of 10,89,65,265 Equity Shares) to ₹13,01,51,705 (consisting of 13,01,51,705 Equity Shares).

The shareholding pattern before and after the Issue will be submitted along with the listing application in the format specified in Regulation 31 of the SEBI LODR Regulations.
