Context of Disclosure
This disclosure is made in response to clarifications sought by certain Proxy Advisory Firms regarding Resolution No. 11 and 12 proposed in the Notice of the upcoming 43rd Annual General Meeting
The specific clarification addressed concerns the proposed appointment for five years that would lead to a total tenure of more than 10 years as Independent Director
The Company clarifies that the re-appointment of both Independent Directors for a Second Term of five years upon the expiry of their First Term is in compliance with relevant SEBI regulations
