Key Changes Effective July 31, 2026
Nomination and Remuneration Committee (NRC) Reconstitution:
- Mr. Jacob Christian Dahl (Independent Director) is co-opted as a new member of the NRC
- The reconstituted NRC comprises Ms. Vanitha Narayanan, Mr. Jacob Christian Dahl, and Mr. Simon John England (all Independent Directors)
- Ms. Vanitha Narayanan continues as Chairperson of the NRC
Stakeholders' Relationship Committee (SRC) Reconstitution:
- Ms. Bhavani Balasubramanian (Independent Director) is co-opted as a new member of the SRC
- The reconstituted SRC comprises Ms. Bhavani Balasubramanian, Ms. Roshni Nadar Malhotra, and Mr. Shikhar Malhotra
- Ms. Bhavani Balasubramanian becomes the new Chairperson of the SRC, replacing Ms. Nishi Vasudeva
Reason for Changes
The committee changes result from the completion of Ms. Nishi Vasudeva's (DIN: 03016991) tenure as an Independent Director on July 31, 2026, and her consequent cessation as:
- Member of Nomination and Remuneration Committee
- Chairperson of Stakeholders' Relationship Committee
Board Resolution and Appreciation
The Board of Directors approved these changes in its meeting held on July 13, 2026. The Board placed on record its appreciation for Ms. Nishi Vasudeva's "excellent leadership & guidance" and acknowledged her "valuable contribution, dedication & unwavering commitment."
