Nature of Change: Resignation of two directors from the Board of Hexagon Nutrition Limited.
Director Details:
- Mr. Subhash Purushottam Kelkar (DIN: 00177280), Executive Director, resigned effective 06 July 2026
- Mr. Aditya Kelkar (DIN: 02312705), Non-Executive Director, resigned effective 06 July 2026
Reason for Resignation: Both directors resigned consequent to their complete divestment of shareholding in the Company following the recently concluded IPO. Both confirm they no longer hold any shares in the Company as of 06 July 2026 and have fully exited from the Company.
Post-Resignation Obligations: Both directors confirm they shall continue to be bound by and comply with the terms and conditions of the Non-Compete Agreement dated 20 April 2026 executed with the Company, including provisions related to confidentiality, non-compete, and non-solicitation obligations for the agreed duration.
Regulatory Compliance: The disclosure is made pursuant to Regulation 30 of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 read along with SEBI Master Circular no. HO/49/14/14(7)2025 CFDPOD2/I/3762/2026 dated January 30, 2026. Required annexures including resignation letters have been submitted.
