Trust Deed Restatement and Amendment
Hexaware Technologies Limited executed a restated and amended trust deed for Hexaware Employees Benefit Trust (formerly Hexaware Employees Stock Option Trust 2024) pursuant to Regulation 3 of SEBI (Share Based Employee Benefits and Sweat Equity) Regulations, 2021 and shareholder approval of Hexaware Restricted Stock Unit Plan 2026.

Trust Objectives and Plans
The trust will administer:
1. Hexaware Employees Stock Option Plan 2024 (already approved by special resolution)
2. Hexaware Employees Restricted Stock Unit Plan 2026 (subject to member approval by special resolution)
3. Any other welfare plans contemplating monetary benefits to employees
The primary objects include administering the plans, managing cashless exercise options, acquiring/holding/transferring company shares, safeguarding beneficiary interests, and applying trust property for employee welfare.
Investment and Financial Provisions
Trust Fund Application: The trust fund may be invested in:
- Stocks, shares, or securities issued by cooperative societies
- Equity/preference shares, debentures, warrants of Indian companies including Hexaware
- Government debentures, loans, bonds
- Fixed deposits with scheduled banks
- Any other investments permitted under Indian Trusts Act, 1882
Prohibitions: The trust shall not enter into any derivatives contracts or deal in derivatives products.
Banking and Demat Accounts: Trustees are authorized to open and maintain banking accounts and dematerialized accounts for acquiring, holding, and dealing in company shares.
Beneficiary Rights
Right to Information: Beneficiaries have the right to receive sufficient information about the trust and its administration to enforce their rights.
Right to Accounting: Beneficiaries are entitled to trust accounts showing all income, expenses, and distributions.
Governance and Administration
Trustee Requirements: Minimum 2 individual trustees (maximum 4) or 1 corporate trustee as sole trustee.
Meetings: Quorum requires 2 trustees present in person or through video conference (unless sole corporate trustee).
Books and Records: Trustees must maintain minute books, proper accounting records, and have accounts audited annually by chartered accountants.
Amendment Power: The settlor retains power to amend the trust deed provided amendments are not detrimental to beneficiary interests.
Duration and Termination
The trust remains valid until:
- The object of the trust is discharged, or
- Destruction of the trust property
Upon dissolution after satisfying all liabilities, remaining trust property shall be transferred to:
- A new or existing trust for employee welfare
- The company for employee benefit
- Other trusts/institutions with employee welfare objects
- Other employee stock option/RSU trusts set up by the settlor
Legal and Dispute Resolution
Governing Law: Indian laws with exclusive jurisdiction in Mumbai courts
Dispute Resolution: Arbitration under Indian Arbitration and Conciliation Act, 1996 with expedited procedures, sole arbitrator appointment, English language proceedings, and Mumbai seat.
