HG Infra Forms WoS for Odisha Highway Project

H.G. Infra Engineering incorporated a wholly owned subsidiary, H.G. Gobindpur Tangi Highway Private Limited, on April 4, 2026.
The SPV was formed to execute a ₹1,582.11 crore, 40.33 km six-lane highway project in Odisha awarded by NHAI under HAM mode.
The company invested ₹15 lakhs as initial share capital subscription for 150,000 equity shares of ₹10 each in the new subsidiary.
This disclosure is made pursuant to SEBI LODR Regulations 30 and 51, confirming the transaction is a related party transaction.
