This is a Postal Ballot process conducted through remote e-voting, not a physical meeting. Voting Process and Methods
The company has engaged CDSL to provide remote e-voting facility. The voting period commences on Monday, 28 September 2026 at 9:00 a.m. (IST) and ends on Tuesday, 27 October 2026 at 5:00 p.m. (IST).
Voting methods include:
- For demat shareholders: Login through CDSL Easi/Easiest, NSDL IDeAS, or through Depository Participants
- For physical shareholders: Login through CDSL e-Voting system using folio number and authentication details
- Non-individual shareholders require corporate registration and board resolution upload
Voting Eligibility and Cut-off Date
The cut-off date for determining voting eligibility is Friday, 18 September 2026. Only members whose names appear in the Register of Members/List of Beneficial Owners as on this date are eligible to vote. Voting rights are proportional to their share of paid-up equity share capital as on the cut-off date.
Scrutinizer Appointment and Role
The Board of Directors has appointed Ms. Stuti Pithisaria (Membership No. A24680, CP No. 26447) of M/s SP & SA Associates, Practicing Company Secretaries as the Scrutinizer. Her role is to scrutinize the postal ballot through remote e-voting process in a fair and transparent manner, and her decision on the validity of votes will be final.
Results Declaration and Compliance
The results will be announced not later than two working days after the conclusion of remote e-voting (by 29 October 2026). The results along with the Scrutinizer's report will be:
- Placed on the company's website (www.himadri.com) and CDSL's website (www.evotingindia.com)
- Communicated to BSE Limited and National Stock Exchange of India Limited
- Displayed for two days on the notice board at both Registered Office and Corporate Office
The process complies with Section 108 and 110 of the Companies Act, 2013, Rule 20 and 22 of the Companies (Management and Administration) Rules, 2014, Regulation 44 of SEBI LODR Regulations, Secretarial Standard SS-2, and MCA Circulars including General Circular No. 03/2025 dated September 22, 2025.
