- Turnover as of March 31, 2026: Transferee Company - INR 2,439.49 Lakhs (INR 24.39 crore); Transferor Company - INR 2,875.64 Lakhs (INR 28.76 crore)
- Combined turnover: INR 53.15 crore
- The transaction qualifies as a related party transaction but is exempted as per Regulation 23 of the SEBI Listing Regulations since it is between wholly-owned subsidiary and step-down wholly-owned subsidiary

- Rationale: Achieving organisational simplification, streamlining the group structure, improving operational efficiencies, reducing administrative and compliance costs, and facilitating more efficient management of business operations
- No cash consideration or share exchange ratio involved

- No adverse impact expected on shareholders of Honasa Consumer Limited
